<p>This policy explains what personal data we collect, why, how long we keep it, who we share it with, and your rights. It covers our website, our online shop, and the GAIA Training System (our online learning platform).</p>

<p>We comply with the UK General Data Protection Regulation (UK GDPR) and the Data Protection Act 2018.</p>

<h2><strong>2. The data we collect</strong></h2>

<p>We collect different data depending on how you interact with us. We have grouped it below.</p>

<h3><strong>2.1 If you buy from us or contact us about a purchase</strong></h3>

	<li>Name, job title, and role</li>
	<li>Business email address and phone number</li>
	<li>Company or practice name</li>
	<li>Billing and delivery address</li>
	<li>Order history and the products or licences you have purchased</li>
	<li>Payment is processed by our payment provider (Stripe). We do not store your card details.</li>

<h3><strong>2.2 If you are a learner on the GAIA Training System</strong></h3>

<p>When your organisation purchases training access for you, your training coordinator provides us with your name and email address so we can create your account.</p>

<p>While you use the platform, we collect:</p>

<ul>
	<li><strong>Account details:&nbsp;</strong>name, email, username, account creation date</li>
	<li><strong>Professional details:&nbsp;</strong>your role (vet, nurse, technician) and your practice</li>
	<li><strong>Progress data:&nbsp;</strong>lessons, modules and topics started and completed; the last step you visited; course start and completion dates; total time spent</li>
	<li><strong>Assessment data:&nbsp;</strong>quiz attempts, answers given, scores, pass/fail results, time spent on each quiz, and the full history of attempts</li>
	<li><strong>Derived data:&nbsp;</strong>progress status (for example &ldquo;on track&rdquo; or &ldquo;not started&rdquo;), average quiz scores, days since last login, and estimated time to completion</li>
</ul>

<p>We use this data to run the course, record your progress, generate your monthly progress report, and produce your completion certificate.</p>

<h3><strong>2.3 Reporting to your training coordinator</strong></h3>

<p>If you are a learner whose access was purchased by an organisation, we share your progress and assessment data with that organisation&rsquo;s training coordinator. This allows them to monitor the training they have arranged and funded.</p>

<p><strong>We do not share anything with your coordinator that we do not also share with you.</strong>&nbsp;You receive the same monthly progress report that your coordinator receives.</p>

<h3><strong>2.4 Technical data</strong></h3>

<p>When you use the website, we automatically collect:</p>

<ul>
	<li>IP address</li>
	<li>Browser type and version, operating system and device</li>
	<li>Login activity and security logs (failed login attempts, account lockouts), which we keep for security purposes</li>
	<li>Cookies necessary for the site to function, to keep you logged in, and for site caching</li>
</ul>

<p>We have configured the platform so that&nbsp;<strong>advertising and marketing tracking does not operate inside the logged-in training area.</strong>&nbsp;Inside the course, we only collect what is needed to run the training and record your progress.</p>

<h3><strong>2.5 Marketing and website analytics (public pages only)</strong></h3>

<p>On our public website pages (not inside the training platform), we may use analytics and advertising tools, including tools provided by Meta, Google and TikTok, to understand how visitors use our site and to show relevant content.</p>

<p>These tools run only where you have given consent through our cookie banner. You can change or withdraw your cookie preferences at any time. See section 7 for more on cookies.</p>

<h3><strong>2.6 Special category data</strong></h3>

<p>We do&nbsp;<strong>not</strong>&nbsp;collect special category data (such as data about your health, race, ethnicity, religious beliefs, sexual orientation, political opinions, trade union membership, or genetic or biometric data). We do not collect data about criminal convictions.</p>

<p>We do&nbsp;<strong>not</strong>&nbsp;collect data about animal patients. The training uses simulation models, not live animals.</p>

<h2><strong>3. Our legal basis for using your data</strong></h2>

<p>Under UK GDPR we must have a legal basis for processing your data. We rely on the following.</p>

<h3><strong>3.1 Performance of a contract</strong></h3>

<p>When your organisation buys training access for you, we process your account data, progress data and assessment data, and share progress reports with your coordinator, because this is necessary to deliver the training service that has been purchased. This is our main legal basis for the training platform.</p>

<p>The organisation that purchases your access is responsible for informing you that your data will be shared with us and that your progress will be visible to your coordinator. We require the purchasing organisation to confirm this in writing before we activate accounts.</p>

<h3><strong>3.2 Legitimate interests</strong></h3>

<p>We process some data because it is reasonably necessary to run our business and does not override your rights. Examples: keeping security logs to protect accounts, keeping records of who to contact about an order, and improving our course content by looking at how the course is used across all learners in an aggregated form.</p>

<h3><strong>3.3 Consent</strong></h3>

<p>We rely on consent for specific things, such as sending you marketing emails (if you opt in) and running advertising or analytics cookies on our public website. You can withdraw consent at any time.</p>

<h3><strong>3.4 Legal compliance</strong></h3>

<p>We process some data because the law requires it, for example keeping financial records for the period required by UK tax law.</p>

<h2><strong>4. Who we share your data with</strong></h2>

<p>We do not sell your personal data. We share it only as set out below.</p>

<h3><strong>4.1 Your training coordinator</strong></h3>

<p>As described in section 2.3, if your training access was purchased by an organisation, your progress and assessment data is shared with that organisation&rsquo;s training coordinator.</p>

<h3><strong>4.2 Service providers (processors)</strong></h3>

<p>We use third-party service providers who process data on our behalf and under our instructions. These currently include:</p>

<ul>
	<li><strong>Website and platform hosting</strong></li>
	<li><strong>Stripe</strong>&nbsp;&mdash; payment processing</li>
	<li><strong>ActiveCampaign</strong>&nbsp;&mdash; email communications and, on public website pages only, site analytics</li>
	<li><strong>Anthropic</strong>&nbsp;&mdash; we use AI tools to help generate progress reports from course data</li>
	<li><strong>Google</strong>&nbsp;&mdash; where we use Google Workspace and Google Drive to store business documents</li>
</ul>

<p>Each of these providers is required to keep your data secure and use it only for the purposes we specify. We will keep this list up to date.</p>

<h3><strong>4.3 Advertising platforms (public website only)</strong></h3>

<p>On our public website pages, and only with your cookie consent, tools from Meta, Google and TikTok may receive data about your visit. These platforms have their own privacy policies:</p>

<p>We may share your data if required by law, to enforce our terms, or in connection with a sale, merger or transfer of our business. If our business is transferred, your data would be covered by the acquiring company&rsquo;s privacy policy, but the data would remain protected.</p>

<h2><strong>5. How long we keep your data</strong></h2>

<p>We keep your personal data only as long as necessary for the purpose we collected it.</p>

	<li><strong>Training account and progress data:&nbsp;</strong>for the duration of your training access, plus 12 months after it ends, after which it is deleted or anonymised.</li>
	<li><strong>Order and financial records:&nbsp;</strong>for the period required by UK tax law (currently 6 years).</li>
	<li><strong>Security logs:&nbsp;</strong>90 days</li>
	<li><strong>Marketing data:&nbsp;</strong>until you opt out, after which we stop using it for marketing.</li>
</ul>

<p>We may keep data longer if there is a complaint or a realistic prospect of legal proceedings.</p>

<h2><strong>6. Your rights</strong></h2>

<p>Under UK GDPR you have the following rights:</p>

<h2><strong>7. Cookies</strong></h2>

<p>Our website uses cookies. Some are strictly necessary for the site to work and to keep you logged in. Others, used only on our public pages, support analytics and advertising and run only with your consent.</p>

<h2><strong>8. How we protect your data</strong></h2>

<h2>1. About these terms</h2>

<p>These Terms and Conditions govern the sale of products and the provision of training services by GAIA Biomodels Ltd (&ldquo;GAIA&rdquo;, &ldquo;we&rdquo;, &ldquo;us&rdquo;, &ldquo;our&rdquo;), a company registered in England and Wales, registered office 12 Rudge Close, Gloucester, GL2 4ET, United Kingdom.</p>

<p>By placing an order with us, you (&ldquo;the Customer&rdquo;, &ldquo;you&rdquo;) agree to these terms. These terms are intended for business customers (veterinary practices, veterinary schools, CPD providers and similar organisations).</p>

<p>If anything in correspondence from a GAIA email address contradicts these terms, these terms take precedence, unless the correspondence is genuinely from our legal department and expressly varies these terms.</p>

<h2>2. What we provide</h2>

<p>We supply:</p>

<ul>
	<li><strong>Physical products</strong>&nbsp;&mdash; anatomical training models, simulation kits and related materials.</li>
	<li><strong>Training access</strong>&nbsp;&mdash; licences to the GAIA Training System, our online learning platform.</li>
	<li><strong>Bundled offerings</strong>&nbsp;&mdash; packages combining physical products and training licences.</li>
</ul>

<p>The specific products, licences and quantities you have purchased are set out in your order confirmation or invoice.</p>

<h2>3. Orders and pricing</h2>

<p>3.1 Prices are as quoted at the time of order. Unless stated otherwise, prices exclude VAT and delivery.</p>

<p>3.2 An order is accepted when we issue an order confirmation or invoice. We may decline an order before that point.</p>

<p>3.3 We may correct obvious pricing errors before accepting an order.</p>

<p>3.4 Quotations are valid for [30] days unless stated otherwise.</p>

<h2>4. Payment</h2>

<p>4.1 Payment terms are as stated on the invoice. Unless agreed otherwise, invoices are payable within [30] days of the invoice date.</p>

<p>4.2 Payment is processed by our payment provider. We do not store card details.</p>

<p>4.3 We may suspend access to training licences or withhold delivery of products if an invoice is overdue.</p>

<h2>5. Delivery of physical products</h2>

<p>5.1 We will deliver to the address specified in your order.</p>

<p>5.2 Delivery timeframes are estimates and not guaranteed. We are not liable for delays outside our reasonable control.</p>

<p>5.3 Risk in the products passes to you on delivery. Ownership passes to you once we have received payment in full.</p>

<h2>6. Training System licences</h2>

<p><strong>6.1 Licence scope.&nbsp;</strong>When you purchase training access, you receive a defined number of individual learner licences, as stated in your order. Each licence is for one named individual.</p>

<p><strong>6.2 Account creation.&nbsp;</strong>To set up learner accounts, you (or your nominated coordinator) provide us with the name and email address of each learner. We use this information solely to create and manage their accounts and deliver the training.</p>

<p><strong>6.3 Licence duration.&nbsp;</strong>The duration of training access is as stated in your order (for example, lifetime access, or access for a defined period).</p>

<p><strong>6.4 Acceptable use.&nbsp;</strong>Learners may use the Training System only for their own training. Login credentials must not be shared. Course content must not be copied, recorded, redistributed, resold, or used to create derivative or competing materials.</p>

<p><strong>6.5 Coordinator access and reporting.&nbsp;</strong>Where training access is purchased by an organisation, that organisation may nominate a coordinator who will receive reports on the progress and assessment results of the learners under that purchase. The same progress information provided to the coordinator is also provided to the individual learner.</p>

<p><strong>6.6 Availability.&nbsp;</strong>We aim to always keep the Training System available but do not guarantee uninterrupted access. We may carry out maintenance and updates, and we may improve or change course content.</p>

<h2>7. Customer responsibilities regarding learner data</h2>

<p>7.1 This clause is important. By providing us with the personal data (names and email addresses) of your employees or other individuals so that we can create learner accounts, you confirm that:</p>

<ul>
	<li>(a) you have informed those individuals that their personal data will be shared with GAIA for the purpose of providing the training;</li>
	<li>(b) you have informed those individuals that GAIA will collect data on their course progress and assessment results;</li>
	<li>(c) you have informed those individuals that their progress and assessment data will be shared with your nominated coordinator so that your organisation can monitor the training it has arranged;</li>
	<li>(d) you have a valid lawful basis to share that personal data with us for these purposes; and</li>
	<li>(e) the individuals have been directed to, or made aware of, GAIA&rsquo;s Privacy Policy at gaiabiomodels.com/privacy-policy/.</li>
</ul>

<p>7.2 You agree that you are responsible for the matters in clause 7.1, and that GAIA processes learner data on the basis that you have met these responsibilities.</p>

<p>7.3 GAIA will process learner data in accordance with its Privacy Policy and applicable data protection law.</p>

<h2>8. Performance support guarantee</h2>

<p><strong>8.1 What the guarantee provides.&nbsp;</strong>Where a performance support guarantee is included in your purchase, GAIA provides structured support to help your learners reach competence in dental radiography. This support is delivered as a guided programme of practice and feedback.</p>

<p><strong>8.2 What is included.&nbsp;</strong>During the support period, GAIA provides:</p>

<ul>
	<li>(a) asynchronous messaging support;</li>
	<li>(b) assessment of radiographs submitted by your learners;</li>
	<li>(c) assignment of practice tasks (&ldquo;homework&rdquo;); and</li>
	<li>(d) review of completed tasks and results.</li>
</ul>

<p><strong>8.3 Standard support period.&nbsp;</strong>The standard support period is 90 days, starting from the date each learner&rsquo;s account is activated.</p>

<p><strong>8.4 The guarantee is active while learners are progressing.&nbsp;</strong>This support is provided on the basis that your learners are working through the programme. This means completing the online course, including all quizzes, and completing the practice tasks assigned by GAIA. While learners continue to complete the tasks assigned to them, GAIA continues to provide support. If a learner stops completing assigned tasks, support for that learner is paused and may end.</p>

<p><strong>8.5 The guarantee is not a guarantee of a specific result.&nbsp;</strong>This is a support guarantee, not a guarantee of a particular outcome. Reaching competence depends on each learner&rsquo;s engagement and practice. GAIA guarantees the provision of the support described above, not a specific performance result, and the guarantee does not give rise to any right to a refund.</p>

<p><strong>8.6 Variations.&nbsp;</strong>GAIA may agree a different support period or different terms with a specific customer. Any such variation will be set out in that customer&rsquo;s order confirmation and applies only to that customer.</p>

<h2>9. Returns and cancellations</h2>

<p><strong>9.1 All purchases are final.&nbsp;</strong>Orders cannot be cancelled or refunded once accepted.</p>

<p><strong>9.2 Manufacturing warranty on physical products.&nbsp;</strong>We warrant that physical products will be free from material manufacturing defects at the time of delivery. If a product arrives with a manufacturing defect, we will repair, replace or refund it at our discretion. To claim under this warranty, you must report the defect to us within [7 days] of delivery.</p>

<p><strong>9.3 Training licences.&nbsp;</strong>Once learner accounts have been activated, training licences are non-refundable.</p>

<p>9.4 Nothing in this section affects your statutory rights in respect of products that are faulty or not as described, which cannot be excluded by law.</p>

<h2>10. Intellectual property</h2>

<p>10.1 All intellectual property in our products, models, course content, platform, branding and materials belongs to GAIA or our licensors.</p>

<p>10.2 Purchasing a product or a training licence gives you the right to use it as described in these terms. It does not transfer any intellectual property to you.</p>

<p>10.3 You must not copy, reproduce, reverse-engineer, record, redistribute or create derivative works from our products or course content without our written permission.</p>

<h2>11. Warranties and liability</h2>

<p>11.1 We provide our products and training for professional educational use. They are training tools and simulation aids. They are not a substitute for clinical judgement, supervised practice, or formal professional qualification.</p>

<p>11.2 We warrant that products will be free from material defects at the time of delivery. Faulty products will be repaired, replaced or refunded at our discretion.</p>

<p>11.3 We are not liable for failure or delay caused by events outside our reasonable control.</p>

<h2>12. Confidentiality</h2>

<p>Each party will keep confidential any non-public information disclosed by the other in connection with these terms, and use it only for the purpose of performing under these terms.</p>

<h2>13. Termination</h2>

<p>13.1 We may suspend or terminate access or supply if you materially breach these terms, including non-payment or misuse of course content or licences.</p>

<p>13.2 On termination, the provisions that by their nature should survive (including intellectual property, confidentiality, and liability) will continue to apply.</p>

<h2>14. General</h2>

<p>14.1 These terms are the entire agreement between us regarding their subject matter and replace any previous discussions, unless we have signed a separate written agreement with you.</p>

<p>14.2 If any provision is found to be unenforceable, the rest of the terms remain in effect.</p>

<p>14.3 We may update these terms. The version that applies to your order is the version in force when we accepted your order.</p>

<p>14.4 These terms are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction.</p>
